Consultant Marketing Agreement

This Consultant Marketing Agreement (CMA) is issued as a Master Agreement between (“Candidate”) and Thinking Human Capital LLC D/B/A CareerMonks (“Contractor”), effective the date signed in the form below (the “Agreement”). This agreement is subject to the terms and conditions contained in the Agreement between the parties and is made a part thereof. Any term not otherwise defined herein shall have the meaning specified in the Agreement. This agreement supersedes any prior verbal agreement and no one has the authority to change it unless by another agreement. The Services shall commence on the date signed below and shall continue perpetually. Both parties have the right to cancel the agreement anytime. However, the candidates that have been already placed on jobs by CareerMonks will be continued to be governed by this agreement until the contract period under the W2/C2C is over.

Consultants to be Marketed

The Candidate agrees to provide the following details of themselves to be marketed successfully: Resume, Copy of Relevant certification, Copy of Identity such as driver’s license. CareerMonks will work with the candidates to improve the resume and coach the candidates for better interview performance as appropriate. The candidate expresses his willingness to work with THINKING HUMAN CAPITAL LLC as their employer/main contractor on all job opportunities that are introduced by CareerMonks. To all job/contract opportunities introduced by CareerMonks which is accepted and interviewed for by the candidate, they must work through THINKING HUMAN CAPITAL LLC D/B/A CareerMonks.

Scope & Methodology

  1. CareerMonks will score and track the market based on the ideal job profile type submitted by the candidate and present contract opportunities (with the client, rate, location) to which they can be submitted.
  2. If the candidate likes the opportunity, they will go through the interview process.
  3. Upon success in the interview, the candidate will be offered the job contract where they will work under the W2 or C2C contract of Next Best IT Sourcing D/B/A CareerMonks as per mutual agreement but the candidate is no circumstances would create any contract/business relationship with the client, prime vendors or other affiliates with respect to the said opportunity.

Non-Employment

The candidate understands that this is not a contract of employment and neither any guarantees are made with respect to the future employment or potential employment.

Responsibilities of Parties

Candidate will review & confirm the opportunities (billing rate & location) they wish to pursue promptly. Candidate will make every attempt to put their best foot forward in their resume and interviews. If offered the job, the candidate should promptly decide whether they want to take it. CareerMonks will promptly communicate all opportunities and interview schedules promptly. CareerMonks will coach and provide guidance to the candidate for success in the interview.

Non-Disclosure & Non-Solicitation & Non-Compete

The candidate agrees not to solicit directly or indirectly, business or employment with vendors, partners, clients and affiliates of CareerMonks. The Candidate agrees that doing so and attempting to do so will be a breach of this contract which will cause immeasurable harm to the CareerMonks business and reputation. The terms of Non-solicitation and Non-disclosure will continue to be in force after 12 months of termination of any representation or employment contract that may be established in future between CareerMonks and the candidate. The Penalty for such breach of this contract, the non-disc will be the total value of contract under consideration which has been introduced to the candidate by CareerMonks.

Arbitration

Any disputes arising out of the terms set forth in the agreement could be arbitrated in the courts based in Texas only. Delay, failure of THINKING HUMAN CAPITAL LLC dba CareerMonks to enforce the terms of the contract does not constitute a waiver of its rights. IN WITNESS WHEREOF, the parties hereto have caused this Consultant Marketing Agreement to be effective as of the day signed below.
